1. Introduction

These Terms of Service (“Terms”) govern the use of services provided by MOR Insights, LLC (“MOR Insights,” “we,” “us,” or “our”). By signing a MOR Insights Quote, authorizing MOR Insights to act on your behalf via carrier Letter of Authorization, or otherwise using our services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.

These Terms, along with your MOR Insights Quote, constitute the entire agreement between you and MOR Insights.

2. Scope of Services

MOR Insights provides managed services and SaaS solutions for enterprise mobile account management, including but not limited to:

  • Procuring and coordinating wireless equipment orders with carrier(s)

  • Optimizing wireless plans to reduce unnecessary costs

  • Negotiating wireless contract terms on your behalf

  • Monitoring account activity and recommending or executing changes to reduce overages and improve efficiency

  • Optional integration support with systems

Please refer to your MOR Insights Quote for specific services applicable to your account.

MOR Insights is not a wireless carrier and does not guarantee the performance of any third-party service provider.

3. Customer Responsibilities

You agree to:

  • Remain solely responsible for all charges from your wireless carriers, including but not limited to data overages, equipment purchases, taxes, and billing errors

  • Cooperate in providing MOR Insights with access to required systems via Letters of Authorization and carrier-approved credentialing methods

  • Implement or support the execution of MOR’s optimization recommendations to realize intended savings or performance improvements

  • Notify MOR Insights promptly of any account changes that may affect service delivery

While MOR Insights monitors and adjusts wireless plans to mitigate overages, you remain responsible for any charges incurred.

4. Authorization to Act

By signing carrier-specific Letters of Authorization (LOAs), you authorize MOR Insights to:

  • Access your wireless carrier portals and billing systems

  • Submit orders, request reports, and make plan adjustments

  • Receive and process account data, including potentially sensitive information (e.g., CPNI, usage reports)

You may also choose to grant MOR Insights access to other internal platforms on a case-by-case basis.

All access is granted at your discretion and remains revocable at any time with written notice.

5. Fees and Payment

Fees for MOR Insights services are specified in your MOR Insights Quote. Unless otherwise stated:

  • Billing is on a month-to-month basis and continues until terminated

  • Customers may cancel services at any time with written notice

  • Fees are non-refundable

  • You are responsible for any applicable taxes (e.g., sales, use, VAT) associated with your use of our services. MOR Insights does not collect or remit taxes on your behalf.

Payment terms are net 30 from the date of invoice. Late payments may result in service suspension.

6. No Warranties; Disclaimer of Liability

MOR Insights provides services on an “as-is” and “as-available” basis. We make no guarantees regarding:

  • Savings outcomes

  • The accuracy or timeliness of carrier data

  • Carrier billing systems or wireless service performance

We expressly disclaim liability for:

  • Billing errors made by the carrier

  • Overages, fees, or charges imposed by your wireless provider

  • Device costs or contract penalties

  • Network interruptions, service degradation, or account suspensions

7. Limitation of Liability

To the maximum extent permitted by law:

  • MOR Insight’s total liability under these Terms is limited to the lesser of (a) the amount paid by Customer in the three (3) months preceding the incident or (b) $5,000

  • MOR Insights shall not be liable for any consequential, incidental, special, indirect, or punitive damages, including but not limited to lost profits, lost data, or business interruption—even if advised of the possibility of such damages

8. Indemnification

You agree to indemnify, defend, and hold harmless MOR Insights, its affiliates, and personnel from and against any claims, damages, losses, liabilities, and expenses arising out of:

  • Your use of our services

  • Your relationship with your wireless carrier(s)

  • Breach of these Terms or applicable laws

  • Any unauthorized access or misuse of systems you have allowed MOR Insights to access

9. Confidentiality

Both parties agree to maintain the confidentiality of any non-public business, technical, or financial information disclosed in connection with these Terms.

MOR Insights will limit internal access to your account information only to personnel with a need to know and will treat your data in accordance with carrier expectations and any applicable laws.

10. Term and Termination

These Terms take effect when you begin using our services and remain in force until terminated. Your MOR Insights Quote specifies the applicable term (e.g., month-to-month or fixed term).

Unless otherwise agreed, services are billed month-to-month and may be terminated by either party at any time with written notice.

MOR Insights may suspend or terminate service immediately if:

  • Payments are overdue

  • You breach these Terms

  • Access to necessary systems is revoked

11. Privacy Policy

Our practices concerning your personal and account data are governed by our Privacy Policy, available at: www.morinsights.com/privacypolicy

12. Force Majeure

Neither party shall be held liable for failure or delay in performing obligations under these Terms if such failure is caused by circumstances beyond reasonable control, including but not limited to acts of God, internet outages, labor disputes, government restrictions, or natural disasters.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes arising under or related to these Terms shall be resolved in the state or federal courts located in California, and each party submits to the jurisdiction and venue of such courts.

14. Miscellaneous

  • Entire Agreement: These Terms and your MOR Insights Quote constitute the complete agreement between the parties.

  • No Waiver: Failure to enforce any provision shall not constitute a waiver.

  • Assignment: You may not assign this Agreement without our prior written consent.

Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.

15. Updates to Terms of Service

We may update Terms of Service from time to time. The updated version will be indicated by a “Last Updated” date at the top of this page. Continued use of our services after changes constitutes your acceptance.
